Qualified Small Business Stock offers great tax and estate planning benefits for those who qualify – during this session we will cover a few of the basic concepts but then apply them to explore how entrepreneurs should evaluate the pros and cons of structuring their companies to qualify for QSBS.  We will also highlight ways to leverage QSBS to maximize the benefit for their families.

Bryan Bloom, Esq.

Bryan Bloom is a tax partner in the Florham Park office of Faegre Drinker Biddle & Reath, LLP.  He is a tax authority and attorney who provides personalized and comprehensive estate planning for family offices and tax and transactional advice for family businesses, investment funds and investors. He designs multigenerational plans, putting into place the right system to integrate next generations into the business, investment and charitable philosophy of the family. Bryan maintains a keen focus on designing tax-efficient strategies to advance clients’ personal goals and to protect family legacies. His background as a long-time general counsel of an investment management firm supports his work advising clients on tax aspects of major transactions and various forms of investments, both on entering and exiting the investments. Given his background, Bryan is uniquely situated to integrate all facets of income and estate taxes into transaction structures, addressing a wide range of issues related to their assets and business interests.

Kevin Fuller, CPA

Kevin Fuller is a member of the Commercial Practice group in Andersen’s New Jersey office. He has over 28 years of experience in providing corporate tax compliance services to Fortune 500 companies as well as closely held businesses and high net worth individuals. His work includes tax planning and advisory services for clients with business ventures in New Jersey as well as globally.

Kevin supports his clients through the full life cycle of their business; start up to exit and on to their next venture. He specializes in the technology industry; including pharmaceutical, biotech, and software, among others. Kevin also assists in tax compliance and planning for large corporations with alternative investments in pension trusts, in addition to working with private clients on their closely held investments.  

Bryan Keith

Bryan Keith is a Managing Director in the US National Tax practice at Andersen and has over 20 years of experience advising on federal income matters, including mergers, acquisitions, and internal restructurings. Bryan’s experience includes work on a variety of tax matters including S Corporation issues, qualified small business stock, and the treatment of transaction costs. Prior to joining Andersen, Bryan worked at Grant Thornton as a managing director in their national tax practice.

Bryan is a frequent author for publications such as The Tax Adviser and a speaker for organizations including the Tax Executives Institute and American Bar Association.

Richard L.N. Weaver

Richard L.N. Weaver is a National Director in Bernstein’s Wealth Strategies Group, where he specializes in counseling private business owners, public corporate executives and holders of concentrated equity positions. Richard joined Bernstein in January 2004 from Prudential Securities, where he headed the Private Wealth Management effort and managed the firm’s Executive Services and Strategies Group. His extensive career in capital markets has also included roles in investment banking, risk arbitrage, equity derivatives and structured products. Richard earned a BS in economics from the Wharton School at the University of Pennsylvania and an MBA from New York University.
